For our project LLC, we have established quorum as 70% of individual members in attendance in person or by proxy. We have discussed whether "member" should be member households, or individual members, but so far we have been able to establish quorum using the total adult members in the LLC as the divisor, since many members have provided proxies. The proxies are effective unless specifically noted as not being effective for a particular issue (although I think that legally proxies need to be renewed every 6 months). We establish quorum at the beginning of the meeting, and quorum is maintained until the meeting is adjourned, even if people leave and the number drops below 70%. We do make our best effort to make sure that all burning souls are notified well in advance of an item they have an interest in being on the agenda, and scheduling the discussion to a meeting they can attend, if they want to be there. Maybe it is the stage of the project (a few months before the start of construction) but we seem to have very good participation, even though some people live up to 450 miles away from some of our meetings, and most of our group regularly travels 200 miles once a month to attend a meeting. We meet twice a month, one time in the location of the site, and one time in the San Francisco Bay Area, where the majority of our members live. I have assumed that we would use the same model for our HOA, when it is formed. But now it seems that there are lots of other ways of doing it. I like 70% of households and the use of proxies in this phase of the project. 50% plus one seems low, and anything higher than 70% would make it difficult to get things done. We are still very young and I don't think have ever used proxies, or needed to. I think the bylaws do provide for them if necessary. We have a pretty strong commitment to trying to work things out to everyone's satisfaction and a lot of effort goes into it. Small group discussions have been very useful. Said she, in the 100th hour of revising a policy for the fourth time after the second evening of listening to small group discussion on the topic.
