We significantly redid our bylaws last year to better reflect what we do
especially wrt governance. One way to avoid the conflict you've noted is to
say as little as possible in the bylaws about specific practices but rather
to refer to "binding consensus agreements" where those practices *are*
described or prescribed or prohibited. We share a folder containing our
consensed agreements and policies with prospective purchasers. If reading
our policies puts off some of them, that's a win for them and for us.
