Cohousing-L Mailing List: Anyone willing to share their development LLC operating agreement?

Hi Eva,
I sent our LLC agreement to your email address.  We put a lot of time into it, 
and it was reviewed by an attorney. We’ve been complete for 15 years, and I 
haven’t looked at that document for longer than that, so I have some 
trepidation about sharing it.  Hope it helps.

We had two issues of concern come up during our time as an LLC. One was a 
problem with our contractor over which they left in the very final moments of 
construction, leaving us with the rest of the retainage. We had no trouble 
completing construction in the way we thought best, though it was a hassle. 
More importantly, it left us on shaky ground regarding latent liability 
insurance.

The other problem concerns people wanting to join who were not well suited to 
our intensive decision-making process during construction. We called upon our 
ability to refuse a couple of people as an LLC which one does not have after 
switching over to an HOA. While I personally was greatly relieved to be able to 
do this, but there was quite a disparity of opinion about it. Someone did 
threaten to sue us under fair housing law, but did not pursue it.

Hello David,

Thank you so much, I did receive the attachment.

Unfortunately, these are for a condominium association, not an LLC, so they are 
not the same thing.

Forming a condominium association is the later stage in cohousing (usually), 
the LLC is for the development stage.

We are still looking for sample LLC papers.
